1. General provisions and definitions
This document is a public offer (the Offer) addressed to any person who wishes to use the services of Samusenko Dmitrii Sergeevich, sole proprietor (Individualny Predprinimatel) (the Contractor) provided through the website astelit.online.
The Offer is a framework agreement within the meaning of Article 429.1 of the Civil Code of the Russian Federation: the framework terms are set out here, while the specific scope, price and deadlines of each engagement are agreed in a separate estimate or technical specification (the Estimate).

- Client: any capable person or organisation that accepts this Offer.
- Services: development, backend and infrastructure services, consulting and related work described in the applicable Estimate.
- Estimate: the document (including an e-mail or an approved technical specification) that defines the scope, price, deadlines and deliverable for a specific engagement.
2. Acceptance of the Offer
Acceptance of this Offer means the full and unconditional acceptance of its terms. Partial acceptance or acceptance on other terms is not allowed.
Acceptance may be made by either: (a) paying the invoice (or its agreed part) issued by the Contractor for the relevant Estimate; or (b) giving written acceptance by e-mail, messenger or another agreed channel. From the moment of acceptance the agreement between the parties is concluded and has the same force as a paper document signed by both parties.
By accepting the Offer the Client confirms that it has the necessary legal capacity and authority, and that it has read and accepts the terms of this Offer.
3. Subject of the agreement
The Contractor undertakes to provide the Services described in the applicable Estimate, and the Client undertakes to accept and pay for them. The Services, their scope, price and deadlines are agreed for each engagement in the Estimate.
This Offer is not a labour agreement and does not create any employment relationship. The Contractor acts independently.
4. Scope, estimates and deadlines
Before work begins the parties agree an Estimate that defines the scope of the Services, the deliverable, the price and the deadlines. The Client provides the information and materials reasonably required by the Contractor.
The deadlines are calculated from the date the parties approve the Estimate and, where an advance payment is agreed, from the date the advance is received. If the Client delays providing materials or feedback, the deadlines are extended accordingly.
5. Cost and payment
The cost of the Services is set in the applicable Estimate. Unless the Estimate provides otherwise, the price is fixed for the agreed scope.
Payment is made in the amount and within the time limits specified in the invoice (Order), on the basis of the estimate agreed by the parties.
The Contractor may issue a separate invoice for each stage. Bank fees and transfer costs are borne by the party that incurs them, unless the Estimate provides otherwise.
6. Procedure of services and acceptance
The Contractor performs the Services in the agreed stages and notifies the Client when a stage or deliverable is ready. The Client reviews the result and either accepts it or sends written comments within the period set in the Estimate.
If the Client does not send comments or objections within that period, the Services are deemed accepted. Where the Services were incomplete or defective, the Contractor corrects them within a reasonable time.
7. Intellectual property
Unless the Estimate provides otherwise, after full payment the Client receives the right to use the results of the Services to the extent agreed in the Estimate. The Contractor retains the right to use general knowledge, methods, libraries and reusable components that it developed independently of the Client's project.
The Client confirms that the materials it provides do not infringe the rights of third parties. The Contractor confirms that the results created specifically for the Client do not knowingly infringe the rights of third parties.
8. Confidentiality
Each party undertakes to keep confidential the commercial, technical and other information marked as confidential that it receives in connection with the Services, and to use it only for the performance of the agreement.
This obligation does not apply to information that is publicly available, was lawfully known before disclosure, or must be disclosed by law or by a competent state body. The parties agree that exchanging documents by e-mail has legal force.
9. Liability
The parties are liable for non-performance or improper performance of their obligations in accordance with the law of the Russian Federation and this Offer.
Neither party is liable for lost profit or indirect losses. The Contractor's liability under this Agreement is limited to the amount actually paid by the Customer under the relevant Order.
10. Force majeure
The parties are released from liability for partial or complete failure to perform their obligations if it results from circumstances of insuperable force (force majeure) that they could not reasonably foresee or prevent, such as natural disasters, military actions, acts of state bodies, or large-scale failures of communications or power supply.
The affected party must notify the other party of the onset and end of such circumstances within a reasonable time. If they last longer than the period set in the Estimate, either party may terminate the agreement without liability.
11. Dispute resolution
The parties will try to resolve any dispute through negotiations. A claim is sent in writing to the other party and is considered within 10 (ten) working days.
This Agreement is governed by the law of the Russian Federation. Disputes are resolved in accordance with the legislation of the Russian Federation.
12. Term and termination
The Offer is valid until it is revoked or replaced by a new version. The agreement is concluded for the duration of the Services under the applicable Estimate.
Either party may terminate the agreement early by giving the other party at least 10 (ten) calendar days' written notice. The Client pays for the Services actually provided and for the costs reasonably incurred by the Contractor up to the date of termination.
13. Changes to the Offer
The Contractor may amend or supplement this Offer. A new version takes effect when it is published on this page, without separate notice. The version that applies to a specific engagement is the one in force at the time the Estimate is approved.
